To change the name of a firm, the statutes are amended under the timing. The new version of the statute and application will depict the same new firm with the same reference to the type of merchant, there is also a consistent use or non-use of quotation marks.

Documents to be submitted:

• Application form (KR18)
• Certified minutes of the meeting of shareholders
• A certified new version of the statute
• Amendment text of the statute
• A receipt, a duplicate, a printout of an online bank payment, or information about the state fee payment

The submission deadline of the document to the Enterprise Register is 14 days after the adoption of the decision.

Checking the name

The name of the firm is the name entered by the merchant in the Commercial Register, this is used in their commercial activity, closing transactions, and signings.

Condition for selecting a name:

• It should include a reference to the type of merchant ‘stock company’ or its initials or abbreviation which include the beginning and end of the firm’s name.
• Latvian or Latin are compulsorily used
• Digits or numbers can be used
• Punctuations are allowed
• Five symbols accepted are &,@,%, +, =,others are rejected
• The names of any state or local government authorities cannot be included
• Words like ‘The Republic of Latvia’ or their translations cannot be included
• Misleading information about any commercial activities is rejected
• Names containing uncensored and ambiguous words contradicting good virtues are not allowed
• Additional words, letters, or numbers are necessary to be included if the name of the administrative territory or residential area is included.
• It cannot coincide with any already registered trademark or part 
• Cannot correspond or clash with any names of an entity registered or apply for in the Enterprise Registered. The use of punctuation, spaces, and uppercase or lowercase letters cannot be considered to differ from another name.

Minutes of the stockholders meeting

The minutes of the meetings of the shareholders to change the company’s name and an amendment to the articles of association are held to be signed by the meeting leader, minute holder and at least one shareholder elected by the meeting, a statement of correctness is presented if more than one shareholders are delegated as proof of correctness, they all must sign the protocol.

Article of association

The statutes signed by the management board and the people who signed the minutes of shareholders shall decide the amendment of change of name and all the documents must contain.

Completing the registration form

The application form for changing the name of the KR18 is signed duly by the board.

Certifying signature

When the document is submitted in paper format, signatures to certify the documents must include the new versions of the articles of association, and the minutes of the meeting of shareholders.

Signatures may be certified as follows

• At sworn notary
• If there is no notary, at the Orphan’s court, following the claimed place of residence (if the person has a Republic of Latvia personal identity number).
• When a secure electronic signature and time stamp are used to sign papers. 

Paying the fees

For the application for registration to be submitted, the state fee must be paid into the treasury account. Immediately after the Enterprise Register has made sure the treasury account is credited, then registration can go on.

The state fee can be paid through a transfer to any bank 2 days before the submission of the documents, it can be submitted through the means of electronic or post.

Registration within 3 working days

The state fee for a change is EUR 20,00, which is paid into the treasury account, the purpose of the payment is a mandatory registration number (if any), the title and service for which the payment is made. 

The state fee for two or more changes is EUR 40,00, which is also paid into the treasury account, the purpose of the payment is a mandatory registration number (if any), and the title and service for which the payment is made. 

The state fee for 1 change is EUR 60,00 which is paid into the treasury account, the purpose of the payment is a mandatory registration number (if any), the title, and the service for which the payment is made. 

The state fee for two or more changes is EUR 120,00, which is also paid into the treasury account, the purpose of the payment is a mandatory registration number (if any), and the title and service for which the payment is made.
