The representative office of a company in a foreign country is independently registered as an entity or a public or non-profit registered and located in the Republic. Although an entity, these offices are not allowed to carry out business activities or involve in economic activities in their stead. However, they can represent or stand in for their parent companies during business negotiations. A representative office is also not a legal entity. One or more persons mandated by the management board have the right to represent the office. They are known as representatives. Sometimes changes can be done to an organization by its founding members. When the need arises for such changes, the company must register the change in the Enterprise Register. A change in the makeup of a foreign office’s representatives must be filed with the Enterprise Register within a month of being decided. This change takes 1-15 working days to register. Steps to making changes in the composition of representatives of a foreign representative office

It takes three simple steps to change the composition of representatives and register it in the country. To do so, follow the steps given below:

  • Complete the application form
  • Pay the state fee
  • Submit the necessary documents

Complete the application form

It is the responsibility of the representative who has been nominated to provide a signature that is valid on the application form PR-2. This form is used for the registration of changes to the composition of representatives (representatives). It is to be anticipated that the form will include information that is already present on the representative in addition to particulars about the nature of the modification itself. 

Pay the state fee

It is essential to make payment for the state charge. Before submitting the application form and the additional papers, it is necessary to make the payment first. After the Register has received and verified the money, only then will the registration be processed. At least two days before the application is due, the fee must be deposited into the Treasury account in one of the following ways: in person, using a credit card, or by a wire transfer at any bank. For registration within 4 working days, the state fee for the process is 28,46 EUR. An applicant who wants the registration within 1 working day must pay a state fee of 42,69 EUR for the process. It is to be paid to the same account details above. 

Submit the necessary documents

The final step of the process is to submit the application form and other required documents to the Enterprise Register. You can tender the application through electronic means or post. A 10 percent discount applies to a submission made online via the website. If the submission is made by an entrusted person, it must be backed by a mandate such as a power of attorney. The following are the documents to be submitted:

  • Application form PR-2
  • Proof of the decision of the company as regards the change (appointment or dismissal of representatives)
  • Receipt, a copy or printout of payment of the state fee

If the entry an applicant wants to register is just an update of information regarding the name of a representative, there is no need to pay a state fee.
